Notice of Postal Ballot for AGM Business

Issue date:

Tēnā koutou

Following the online-AGM on 5 November 2021 the Board has carefully considered matters of important members' business not able to be completed without a quorum.

The Board considers it is not reasonably practicable to hold another AGM or a special general meeting this year (either in person or electronically) due to COVID-19. Relying on Section 13A of the COVID-19 Response (Requirements For Entities—Modifications and Exemptions) Act 2020, the Board has passed a special resolution to resolve the following outstanding matters through a postal ballot. This will consist of voting on the following two items:

  1. Voting to appoint the two Board Director vacancies
  2. Voting to appoint the Patron

The Patron has been included as this is considered a simple vote, with only one candidate which requires a for or against vote.

The seven Motions are equally important; however, we must allow for the membership to have their opportunity for a reply to each Motion. The most appropriate forum to accommodate this is at the 2022 AGM.

A candidate profile and voting form will be posted to all brigades on 18 January 2022, we will provide another update to confirm these have been sent. Please ensure your voting paper is returned as detailed on the form by Friday 18 February 2022, any forms received after this date will not be counted.

We acknowledge this process is not ideal in these times, however we must conclude the 2021 AGM business in a fair and reasonable manner, so we can move forward.

Finally, we would like to remind members that Board Chair Hon. Peter Dunne’s 2021 AGM opening speech can be read on our website: https://www.ufba.org.nz/events-learning/annual-general-meeting-2021.
